Welcome to AgentShield. These Terms of Service ("Terms") cover your use of the AgentShield platform, website (agent-shield.ai), and services provided by Nextriad ("we," "us," or "our").

By accessing or using AgentShield, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Description of Service

AgentShield provides a security gateway, permission management system, and verification layer for Artificial Intelligence (AI) agents. Our services allow developers to define, monitor, and enforce access controls for their AI applications.

            AI Security Disclaimer: While AgentShield provides robust tools to manage permissions and verify agent actions, we cannot guarantee 100% security. AI systems are non-deterministic and complex; you acknowledge that Nextriad is not responsible for the independent actions, hallucinations, or errors generated by your AI agents, even when using our gateway.
        

2. Accounts and Eligibility

You must be at least 18 years old to use the Service.
You are responsible for maintaining the security of your account credentials.
We utilize third-party authentication services (e.g., Clerk). You agree to comply with their respective terms of use.

3. Plans and Payments

We offer the following pricing tiers:

Free: Up to 10 agents.
Grow ($19/month): Up to 100 agents.
Enterprise: Custom volume and features.

Billing: Payments are processed via PayPal. By selecting a paid plan, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable unless required by law.

4. Acceptable Use

You agree not to use AgentShield to:

Facilitate malicious AI behavior, cyberattacks, or unauthorized data scraping.
Reverse engineer or attempt to compromise the AgentShield infrastructure.
Bypass rate limits or usage restrictions.
Process illegal content or perform illegal activities.

5. Intellectual Property

Nextriad Rights: We own all rights, title, and interest in the AgentShield platform, our API, and documentation.

Your Data: You retain ownership of your AI agents, logs, and configuration data. You grant us a limited license to process this data solely to provide the Service.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTRIAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

7. Termination

We may suspend or terminate your access immediately if you violate these Terms, particularly regarding the malicious use of AI agents. You may terminate your account at any time via the dashboard.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
